ارکان منافع در«تعارض منافع» در حقوق شرکتهای تجاری (مطالعه تطبیقی حقوق فرانسه و ایران)

چکیده
تعارض منافع یکی از چالش‌های اصلی و پیچیده در حوزه حاکمیت شرکتی است. با این حال، ادبیات حقوقی ایران در تعریف دقیق «منافع درگیر» در این تعارض با ابهام روبروست و عمدتاً به مصادیق قانونی اکتفا شده است. فقدان یک چارچوب مفهومی منسجم برای شناسایی منافع متعارض، حقوق ذینفعان را در خطر قرار می دهد. در این وضعیت مسئله اصلی شناسایی ارکان منافع متعارض است. این پژوهش با روش توصیفی-تحلیلی و مطالعه تطبیقی دکترین پیشرو حقوق فرانسه، این فرضیه را اثبات می کند که این تعارض از تقابل دو رکن اصلی شکل می‌گیرد: نخست، «منفعت شرکت» به عنوان یک منفعت مستقل و معیار و دوم، «منفعت شخصی» (اعم از مادی و معنوی) که نوآوری این پژوهش، ارائه روشی برای شناسایی آن از طریق تحلیل «پیوندهای منافع» است. این چارچوب، مبنایی برای تفسیر منسجم قوانین و ارائه راهکارهای عملی در نظام حقوقی ایران را فراهم می‌آورد.

Law: A Comparative Study of French and Iranian Law

چکیده English

Conflict of interest represents one of the most fundamental and complex challenges in the field of corporate governance. However, Iranian legal literature suffers from ambiguity in precisely defining the 'interests involved' in this conflict, largely confining itself to statutory examples. Using a descriptive-analytical method and a comparative study of advanced French legal doctrine, this research seeks to provide a coherent conceptual framework for identifying the constituent elements of competing interests. The findings indicate that this conflict arises from the confrontation of two main pillars: first, the 'corporate interest' (l'intérêt social) as an independent and benchmark interest, and second, the 'personal interest' (both material and moral). The main contribution of this study lies in presenting a method for identifying personal interest through the analysis of 'links of interest' (liens d'intérêts). This framework provides a basis for the coherent interpretation of laws and the presentation of practical solutions within the Iranian legal system.
