شورای رقابت و کسب وکارهای اینترنتی (تحلیل تصمیم جلسه 306 شورای رقابت در خصوص بررسی ادعای قیمتگذاری تهاجمی سامانه‌های درخواست اینترنتی خودرو)

چکیده

با افزایش فعالیت کسب وکارهای اینترنتی و رشد سهم بازاری آن ها، احتمال بروز اقدامات ضدرقابتی از سوی برخی از این کسب و کارها یا طرح ادعای انجام رویه های ضدرقابتی از طرف رقبا یا سایر اشخاص افزایش پیدا خواهد کرد. در این شرایط، با توجه به اقتضائات خاص حوزه تجارت الکترونیکی و نوظهور بودن آن در ایران، اعمال قواعد حقوق رقابت بر عملکرد کسب و کارهای اینترنتی با چالش های جدیدی مواجه خواهد شد. در این خصوص، شورای رقابت، به عنوان عالی ترین نهاد تسهیل کننده رقابت و منع انحصار، تصمیمات مهمی را در جلسه سیصد و ششم خود، اتخاذ کرده که البته انتقاداتی نیز بدان وارد شده است. مقاله حاضر در صدد است تا با ارائه مبانی قانونی صلاحیت شورای رقابت، از یک سو به بررسی صلاحیت شورا در رسیدگی به رویه های ضدرقابتی سامانه های درخواست اینترنتی خودرو بپردازد و از سوی دیگر، مفاد تصمیم شورا را از نظر رعایت مواردی از قبیل تعیین بازار محصولات مرتبط، قیمتگذاری تهاجمی و معافیت های قانونی، نقد و تحلیل کند.

چکیده [English]

With increasing activity of E-Commerce Businesses and growth of their market share, the likelihood of anti-competitive practices by some of these businesses or the claim of anti-competitive procedures by competitors or other individuals will increase. In this situation, due to special considerations of the e-commerce field and its emergence in Iran, applying the rules of Antitrust Law, will face new challenges. In this regard, the Competitiveness Council, as the supreme entity for facilitating competition and prohibition of monopoly, made important decisions at its 306th session, which, of course, has been criticized. The present article, seeks to by showing the legal basis for the competence of the Competitiveness Council, on the one hand, review the competence of competitiveness Council to investigate the TNCs anti-competitive procedures, and on the other hand, to consider the contents of the Council's decision in terms of such matters as determining the Relevant Market, Predatory Pricing and Legal Exemptions.
