عرضه و فروش اموال تملیکی موضوع قانون مبارزه با قاچاق کالا و ارز در بورس‌

چکیده
اگرچه در جهت انتقال مالکیت به بخش خصوصی روش‌های مختلفی از قبیل فروش از طریق مذاکره و مزایده وجود دارد، اما ماده 56 قانون مبارزه با قاچاق کالا و ارز بر فروش اموال تملیکی از طریق بورس کالا دلالت نموده است. این اقدام در عین اینکه کالاهای مشمول را از مزایای عرضه در بورس‌ برخوردار می‌کند، مستلزم تبعیت از قواعد و مقررات حاکم بر بورس و التزام به جهات موسوم به حرفه‌ای و متشکل بودن بورس‌های کالایی است. ازجمله این موارد، لزوم رعایت الزامات مربوط به پذیرش و عرضه در بورس، پیروی از مقررات مربوط به انجام معاملات، افشای اطلاعات عرضه‌کنندگان، عدم تمکین کالای پذیرفته شده در بورس از قیمت‌گذاری توسط دولت، اجرای مقررات خاص مربوط به تسویه و پایاپای، تحت نظارت قرار گرفتن فعالان این حوزه، رسیدگی به تخلفات انضباطی آن‌ها و لزوم رسیدگی به اختلافات حرفه‌ای ناشی از این عملیات در قالب تأسیس ماده 36 قانون بازار اوراق بهادار است. فارغ از این الزامات و اقتضائات که در این نوشتار تبیین شده است، ایراد وارد بر ماده صدرالذکر آن است که اولاً؛ این مقوله را منحصر در بورس کالا نموده و بورس انرژی که مصداقی از بورس‌های کالایی در ایران محسوب می‌شود را نادیده گرفته است. ثانیاً؛ کلیه کالاهای موضوع جمع‌آوری و فروش اموال تملیکی را مصداق ضرورت عرضه در بورس ندانسته و صرفاً برخی کالاهای مشمول شرایط معین را تصریح نموده است. لذا بیش از آن‌که در مقام تشیید مجاری حمایت از بورس‌های کالایی باشد، حکایت از رویکرد حداقلی مقنن به این حوزه و مشخص نبودن مبنای اتخاذی آن از این حیث دارد که باید در اصلاحات سیاستی و تقنینی لحاظ شود

چکیده English

Although there are various methods for transferring ownership to the private sector, such as sales through negotiation and auction, Article 56 of the “Law on Anti-Smuggling of Goods and Currency” stipulates the sale of state-owned properties through the mercantile exchange. This measure provides the covered goods with the benefits of being listed on the stock exchange and requires compliance with the rules and regulations governing the stock exchange, as well as a commitment to professionalism and organization within mercantile exchanges. These include the need to comply with the requirements related to acceptance and offering on the stock exchange, adherence to the regulations governing transactions, disclosure of information from suppliers, exemption of goods accepted on the stock exchange from government pricing, implementation of special regulations related to settlement and clearing, supervision of participants in this field, handling of disciplinary violations, and the resolution of professional disputes arising from these operations based on Article 36 of the “Securities Market Act of The Islamic Republic of Iran”. In addition to the requirements outlined in this article, the first issue with the above article is that, firstly, it has limited this category to the mercantile exchange while ignoring the energy exchange, which is an example of a mercantile exchange in Iran. Secondly, it has not considered all goods subject to the collection and sale of state-owned properties as examples of the necessity of offering them on the exchange, but rather has only specified certain goods subject to specific conditions. Therefore, instead of determining ways to support mercantile exchanges, it reflects a minimal approach by the legislator to this area and a lack of clarity regarding the basis for its adoption, which should be taken into account in policy and legislative reforms.
