راهکارهای بهبود نظام حاکمیت شرکتی ایران، با تأکید بر شاخص حمایت از سهام‌داران خرد بانک جهانی

چکیده
حاکمیت شرکتی، پاسخی به مسئله بنگاه است که به دلیل تفکیک بین مالکیت و کنترل در شرکت‌های سهامی بوجود می‌آید. کشورهای مختلف در قوانین حاکم بر شرکت‌های سهامی، تدابیر گوناگونی جهت حل مسئله بنگاه ندیشیده‌اند. شاخص حمایت از سهام‌دارن خرد بانک جهانی، وضعیت نظام‌های حقوقی حاکمیت شرکتی کشورهای مختلف را با تأکید بر حمایت از سهام‌داران خرد اندازه‌گیری می‌کند. در سال 2015، مؤلفه‌های جدیدی شامل حقوق سهام‌داران، گستره قدرت حاکمیت و گستره شفافیت شرکت به این شاخص اضافه شد. مطالعات تجربی، گویای رابطه مثبت بین قواعد حاکمیت شرکتی و متغیرهای اقتصادی است.
هدف از انجام این تحقیق شناسایی راهکارهای حقوقی بهبود نظام حاکمیت شرکتی ایران با توجه به شاخص حمایت از سهام‌داران خرد بانک جهانی، است. پاسخ به این پرسش با استفاده از منابع کتابخانه‌ای و بررسی قوانین و مقررات حاکم بر این حوزه یافت خواهد شد. نتایج مطالعه نشان می‌دهد که راهبردهای موجود برای بهبود وضعیت حمایت حقوقی از سهام‌داران خرد در حقوق ایران در مجموع در سه دسته کلی قابل جمع‌بندی هستند. نخست اصلاح برداشت پاسخ‌دهندگان به پرسشنامه‌های بانک جهانی در مورد این شاخص است راهبرد دوم در قالب اصلاح مقررات حاکم بر شرکت‌های ثبت شده در بورس، میسر می‌شود. راهبرد سوم، اصلاح قوانین حاکم بر موضوع مانند مواد مرتبط در لایحه اصلاحی قانون تجارت، موادی از قانون آیین دادرسی مدنی و سایر موارد است. در نهایت پیشنهاد می‌شود اصلاحات حقوقی در قالب قانون مستقلی با عنوان »قانون حاکمیت شرکتی» به تصویب برسد.

Corporate governance, is a response to agancy problem. Agancy problem is result of separation of ownership and control. Different countries in their laws and regulation, use different method to overcome this problem. World bank’s protecting minority investors, evaluates and compares different legal system in this subject. Before 2015، the only components of the disclosure، director liability and ease of judicial action against the directors were measured. In 2015، new components of shareholders' rights، the strength of governance structure and corporate transparency of the company were added to this index.

The main question of this study is: What legal reforms needed to improve Iran’s corporate governance system using minority investors index. The answers will be given by using library resources and study the rules and regulations governing this area. The results showed that the existing strategies for improving the status of laws and regulations could be categorized in three strategies. The first is reforming the respondent’s interpretation of laws and regulations. The second approach is amending regulations governing listed companies. The last strategy، is amending the laws governing the matter (for example commercial code, civil procedure code and etc) by preparation and adoption of the "corporate governance"، which is more efficient. Therefore، this study suggest parliament to pass a law to improve Iran’s corporate governance system.
