After the registration of an invention, a patent is granted and, as an official document, implies the ownership of the holder. Due to some grounds, such as not meeting one of the substantive requirements, the patent might become invalidated by a court order.  According to the Article 18 of the Patents, Industrial Designs and Trademarks Act of Iran, patent invalidation has retroactive effect and invalidates all contracts which have been concluded based on patented inventions. Invalidity of the contract indicates that the invalidated contract has never been existing, and parties’ rights and obligations have never been in existence; consequently, the other party of the contract, such as licensee, could recoup the whole paid consideration. The adoption of this idea is inconsistent with the purposes of Patent Law, including incentivizing, encouraging to resort to patent system, protection of inventors, commercialization of inventions, stability of contracts, and trust in the market; and it could be deemed as a serious obstacle to these matters. In this research, by taking the necessities of  Patent Law, including the need to facilitate innovation and commercialization of inventions and to create a climate free of bad patents, into consideration, this legislator’s approach is criticized, and its contradiction to the public interest, the dissemination of knowledge, the process of commercialization, and transfer of technology will be demonstrated. Finally, the amendment of the mentioned act and not perceiving contracts as void will be proposed in order to foster the process of innovation. }, keywords = {Nullity / Patent / Contract / Retroactive Effect / Commercialization}, title_fa = {تأثیر ابطال گواهی نامه ثبت اختراع بر قراردادها با لحاظ ضرورت های حقوق اختراع}, abstract_fa = {اختراعی قابل ثبت است که جدید بوده، دارای گام ابتکاری و کاربرد صنعتی باشد. پس از ثبت اختراع، گواهی‌نامه ثبت اختراع صادر شده و به‌عنوان یک سند رسمی بر مالکیت دارنده آن دلالت دارد. ممکن است بنابر دلایلی از‌جمله فقدان یکی از شروط ماهوی اختراع، گواهی‌نامه مزبور توسط حکم دادگاه بی‌اعتبار و باطل شود. طبق ماده 18 قانون ثبت اختراعات، طرح‌های صنعتی و علائم تجاری ایران، بی‌اعتباری ناشی از بطلان، اثر به گذشته داشته، قراردادهای منعقده بر روی اختراع ثبت‌شده را باطل و بی‌اثر می‌کند. بطلان قرارداد به این معنا است که قرارداد باطل شده، اساساً به‌وجود نیامده و حقوق و تعهداتی بین طرفین ایجاد نشده است و بنابراین طرف قرارداد مثل لیسانس‌گیرنده می‌تواند کل مبلغی را که پرداخت کرده، مسترد نماید. پذیرش این معنا با اغراض حقوق اختراعات از‌جمله انگیزه‌بخشی، تشویق به ثبت اختراع، حمایت از مخترعین، تجاری‌سازی اختراع، ثبات قراردادها و اعتماد در بازار منافات داشته و مانع جدّی برای این امور به حساب می‌آید. در این پژوهش با لحاظ ضرورت‌های حقوق اختراعات از‌جمله لزوم تسهیل نوآوری و تجاری‌سازی اختراعات و ایجاد محیطی عاری از گواهی‌نامه‌های بی‌اعتبار و فاقد شرایط، این رویکرد قانون‌گذار به نقد کشیده شده و مغایرت آن با مصالح عمومی، اشاعه دانش و فرآیند تجاری‌سازی و انتقال دانش و فن‌آوری نشان داده می‌شود. در نهایت، اصلاح قانون مذکور و عدم بطلان قراردادها به‌منظور کمک به فرآیند ابداع و نوآوری پیشنهاد می‌شود.}, keywords_fa = {بطلان / گواهینامه ثبت اختراع / قرارداد / اثر قهقرایی / تجاریسازی}, url = {https://pajooheshnameh.itsr.ir/article_35884.html}, eprint = {https://pajooheshnameh.itsr.ir/article_35884_e7c5111d6c1bd359b4b2a5907a77c0a8.pdf} }
