تحلیل ماهیت حقوقی، اوصاف و مخاطرات قراردادهای تبلیغی با ستارگان

چکیده

بهرهبرداری از تصویر و آثار ستارگان (چهرهها) در تبلیغات تجاری، از مؤثرترین ابزارهای تبلیغ به شمار میرود. اکثر شرکتهای تبلیغی از این شیوه تبلیغ برای معرفی محصولات استفاده میکنند. ستارگان نیز تمایل زیادی به انعقاد قرارداد تبلیغی با شرکتهای یادشده دارند، زیرا درآمد حاصل از این نوع قراردادها قابل توجه است. در این نوشتار با روش تحلیلی و توصیفی، ماهیت قرارداد تبلیغی، مخاطرات آن و اهرمهای حمایتی در مقابل مخاطرات مورد مطالعه و تحلیل قرار گرفته است. با بررسیهای بهعمل آمده ماهیت این نوع قراردادها در مقایسه با انواع قراردادهای مشابه، در قالب ماده 10 قانون مدنی، و بهعنوان یک عقد نامعین قابل توصیف میباشد. اگرچه استفاده از تصویر ستارگان در جلب مصرفکنندگان به خرید محصولات تأثیر بهسزایی دارد، با اینحال، شرکتها در معرض این خطر هستند که ستارگان با مشارکت در فعالیتهای غیراخلاقی، وجهه آنها را خدشهدار نمایند، و تأثیر منفی بر دیدگاه مصرفکنندگان داشته باشند. از اینرو، شرکتهای تبلیغی به منظور حمایت از سرمایه و شهرت خود، از شروطی مانند شروط اخلاقی، شرط کلابک یا وجه التزام استفاده میکنند. همچنین ستارگان متقابلاً با این خطر مواجه هستند که شرکتها با انجام اقدامات غیراخلاقی وجهه آنها را در دید عموم تغییر دهند. از اینرو، ستارگان در تلاش هستند تا شرط متقابل اخلاقی را در قرارداد درج نمایند.

چکیده [English]

Exploitation of celebrities’ image in commercial advertisement is one of the most influential tools in identifying products to consumer. Most of the endorsement companies use this kind of advertising for identifying products. Celebrities have a great tendency to conclude endorsement contract with companies, since obtaining revenue from this contracts is higher than other contracts. Nature of this contracts in comparison to other similar contracts are described in the form of article10 of civil code. Although exploitation of celebrities’ image has a great impact on consumers’ attention to buy products, companies are at risk that celebrities’ engaging in unethical activities can damage their fame, and have a negative impact on consumers’ view. As a result, endorsement companies use clauses like moral clauses, claw-back clauses or liquidated damage to protect their capital and fame. Also, celebrities are facing the danger that companies will change consumers’ view by engaging in unethical activities. As a result, celebrities are trying to specify reverse moral clause in their contracts.
