If the seller violates its obligations, purchaser will demand the amount of guarantee. Bank guarantees, basically, are issued in such a way that are payable with beneficiary’s first demand. In some cases, however, because of multilateral or unilateral sanctions, beneficiary could not be paid; this is frequently experienced by Iranian banks and traders. These sanctions based on their source that it would be an international organization or a state, would have different effects on guarantees. Sometimes sanctions have direct effect on guarantees and sometimes it would related to basic contract, and this raises this question that, does the law which put sanction on basic contract extent to guarantees? This paper shows that multilateral and unilateral sanctions have different scope to enforce, and base on this condition they would prevent the payment of guarantees. Base on sanctions regulations and their nature, they also would limit extension of guarantees even if they are only related to basic contract.}, keywords = {Multilateral Sanctions,Unilateral Sanctions,Bank Guarantee,Force Majeure,Public Order}, title_fa = {آثار تحریم بر پرداخت ضمانت‌نامه‌های بانکی}, abstract_fa = {ضمانت‌نامة بانکی یکی از مهم‌ترین ابزارهای تضمین در روابط تجاری بین‌المللی است که برای جلب اطمینان خریدار (ذی‌نفع)، نسبت به تضمین ایفای تعهدات فروشنده (ضمانت‌خواه) صادر می‌شود و خریدار درصورت تخلف فروشنده، می‌تواند مبلغ مندرج در ضمانت‌نامه را مطالبه کند. اصولاً ضمانت‌نامة بانکی را به گونه‌ای صادر می‌کنند که با اولین مطالبة ذی‌نفع، قابل پرداخت باشد. اما گاهی به دلیل تحریم‌های چند جانبه یا یکجانبه، ذینفع با عدم پرداخت وجه ضمانت‌نامه روبرو می‌شود؛ موضوعی که بازرگانان و بانک‌های ایرانی به کرات با آن مواجه شده‌اند. این تحریم‌‌ها براساس منشأ وضع آن که ممکن است سازمان بین‌المللی یا یک کشور باشد، موجد آثار متفاوتی بر ضمانت‌نامه هستند. همچنین تحریم گاهی به‌طور مستقیم بر ضمانت‌نامه تأثیر می‌گذارد و گاهی صرفاً ناظر بر قرارداد پایه است و این پرسش را پیش می‌آورد که آیا قانونی که تحریم را بر قرارداد پایه وضع کرده است، می‌تواند به ضمانت‌نامه نیز تسری ‌یابد یا خیر؟ این مطالعه با روش توصیفی تحلیلی نشان می‌دهد تحریم‌های چند جانبه و یک‌جانبه قلمرو اجرایی متفاوتی دارند و حسب شرایط، هر دو می‌توانند مانع پرداخت ضمانت‌نامه شوند. همچنین براساس محتوای مقررات تحریم، پرداخت و نیز تمدید ضمانت‌نامه با محدودیت‌ روبرو می‌شود، حتی اگر تحریم فقط ناظر به قرارداد پایه باشد.}, keywords_fa = {تحریمهای بین‌المللی,تحریمهای یک‌جانبه,ضمانت‌نامۀ بانکی,فورس‌ماژور,نظم عمومی}, url = {https://pajooheshnameh.itsr.ir/article_33361.html}, eprint = {https://pajooheshnameh.itsr.ir/article_33361_65f25471c172cc0fb5aa29f126b89d2a.pdf} }
