Today, suppliers have a very important role for companies and organizations and proper choice of suppliers can be considered as an important competitive advantage in the market for companies and organizations. Since suppliers have a close relationship with organizations, their final production and services depend on suppliers both in terms of quality and cost. One of the solutions in critical situations and disruptions is the use of reliable suppliers to overcome critical situations and provide raw materials. In this paper, the reliability of the supplier is estimated by examining supplier disturbances and considering the relationship between them and using the Failure Tree Analysis (FTA) technique . Fuzzy theory approach is used due to the precision of input information. In this paper, the validation model provided of the two suppliers of the sub-surface research institute in Isfahan has been evaluated for validation of the model.

The health tourism showcase is considered as a standout amongst the most spurred and aggressive organizations on the planet and is one of the new regions of cutting edge tourism. The main objective of this analysis was to style a model within the field of health tourism in Mashhad. Initially the results of the qualitative section and then the quantitative section were described. Thirteen factors were known with the very best priority, per the skilled group’s opinions for the factors of health tourism. In fact, the factors were ranked according to the CCi similarity index. The issue with the foremost similarity index was hierarchic one. Thirteen elite factors whose index of similarity was over 0.8. Once characterization the hierarchical relationships of the thirteen factors, we tended to modify the ranking by the informative structural modeling, and that we got hold of a qualitative analysis model. After identification of the relationships and levels of their factors, we tend to print the model’s form. Then, the health tourism model was assessed employing a path analysis. At the end, the fitting indices of the trail analysis model were studied. Fitting of the indexes within the best vary, so indicating a lot of and support of the info from the developed model. Therefore, the appropriateness of the trail analysis model in fitting to the collected information was confirmed. Then, exploitation the informative structural modeling, the link between 13 factors, dependent factors, autonomous factors, connected factors and freelance factors, was found and also the school of thought model was drawn in six levels.

The industrial sector in Qazvin province has a great importance, which has a relatively high share in value added and employment. Therefore, development of this sector is one of the economic goals. The development of the industrial sector requires the consumption of more factors of production. One of the most important inputs used in this section is water. Due to the limited water resources of the province, water demand management in this sector is especially important. One of the most effective tools to reduce water consumption is the use of new methods and technologies for saving water consumption. Therefore, the water demand function in the industrial sector was estimated using the data of ISIC codes and time series (2010-2014) firstly, then the interaction between technology and other inputs was investigated with water. In order to achieve the research objectives, a seemingly unrelated regression method was used. The results showed that water is a low-elasticity product, since its elasticity was calculated 0.069. The coefficient of interaction of the price of this input with the technology of 0.002-show that the water consumption has decreased somewhat over time. The technology coefficient was calculated 0.033, which implies an increase in costs over time. The results of calculating of Morishima elasticity indicate the substitution of water with other inputs used in the industry sector in Qazvin province.

Business law is moving and improving very fast and in the meantime, companies, pursuing aims such as gaining profit or accessing a wider market, do things such as merge which in previous decades stabilized its position perfectly and in the dynamics of the economy, became wonderment. In each company, shareholders are the beating heart of the company and protecting shareholders means guarantee their further investments in other similar business activities. Companies performing some structural changes such as merger may bring losses for shareholders. These shareholders may as well not be interested in continuing their corporation with the merged company. In order to provide some protections which in fact are protecting the investment matter itself, we should find a solution to separate shareholders from the company, in a way that his share’s price counted and merged completely and fairly. In Iran’s law, there is no set up anticipated for such separation of these shareholders. So in the present paper, we look for a pattern and also a solution is U.S’s law which was a pioneer in this matter. Also we attempted to adapt the subject with Iran’s subjective law.

One of the problems facing developing countries specializing in exports is the limited number of goods (which are mostly raw materials) as well as exporting markets. Accordingly, the volatility of the terms of trade and foreign exchange earnings have shaken export-based economic development policies in these countries. Iran is one of the countries that, despite having natural and human resources, has been able to have a variety of export portfolios and penetrate the target markets with high purchasing power. One of the productive sectors that has developed significantly in the Iranian economy in recent years is drug production. In this research, in order to expand the export of pharmaceutical-human products, the decision support model has been used. Based on the results of the decision support model, 498 product-target market combinations have been identified for the development of export of pharmaceutical-human products.

Nowadays, the success of businesses cannot be simplified. For this reason, consumer behavior prediction is key to success in planning and managing the environment. The focus of this research is to recognize the behavior of consumer futures in goods with high mental conflict. In fact, this study identifies factors, dimensions, components and indicators effective for future consumer shopping behavior in goods with high mental conflict and presents a structural model. In the first study, delphi method was used in four rounds to study theoretical literature and interview with 17 experts from academic and industry experts to obtain their views and fuzzy delphi logic to analyze these opinions, and in second study using a 417 - man sample and AMOS softwares and spss components were analyzed in two measurement and structural models. In the first study, two factors, four dimensions, eighteen components and sixty five indicators related to the main concept were identified and in the second study the elements of the research were analyzed using confirmatory factor analysis and finally fit the confirmed elements in the final model. The results of this study showed that feedback indices were calculated by vendors and attention to changes of products from the social impacts component with the highest amount of fuzzy norms and the least amount of fuzzy norms is the least important indicator.

Developing countries need foreign investments, in order to finance their large infrastructure projects. These investments might help them to update their technologies and efficient management. Built, Operate and Transfer contracts known as BOT is one of the contracts by which a country might fulfill the requirements of attracting foreign investments. After the enactment of “FIPPA” and “General Principles of Article 44 of the Constitution”, a relative way reopened to the privatization of governmental Fundamental and Institutional sections, which, in turn, might motivate and attract foreign investments. The foreign investors, who invest in public infrastructure projects by B.O.T, need more legal and governmental supports. The present article seeks to answer the question of what are the obligations, incentives and responsibilities of the government in attracting foreign and private investment? What are their governing rules? After checking out in multiple instances and analyzing them, it seems that in most cases, the responsibility attributable to the government. It is supposed that this achieving the goal of this research will motivate the foreign investors to invest by entering in to BOT contracts by balancing the rights and obligations between the parties. Which are, now, envisaged to have legal and economic potential.

A Legal Analysis to the Binding or Non-binding Nature of General, Proportional and Limited Partnerships

The general, proportional, and limited partnerships are deemed as revocable and death or incapacity of their shareholders each would hamper their persistence. So presumption of revocability of these partnerships as a contract emerges, but many reasons suppress this presumption. That contract is principally deemed as binding; so the shareholders’ withdrawal or expulsion from the partnership would not be possible. However, possibility of revoking the partnership’s contract as well situation of the partnership contract at the exposure of dissolution with the death or incapacity of the shareholders each brings about various questions and ambiguities on consequences of these happenings particularly on the creditors’ rights. This analytical research shows that despite analyzed special regulations, these partnerships are still deemed as binding. Revocability does not make them non-binding. Besides, death or incapacity of one of the shareholders (general partners at the limited partnerships) although puts them at the exposure of dissolution but does not inevitably lead to their dissolution. However, in some situations, on decision to dissolve the partnership or to keep it persisting, creditors lose the demised shareholder’s responsibility in respect to what the partnership owes them in case of its dissolution and its insolvency for payment of its debts to creditors.

Effective planning and execution of rescue operations play a vital role in the survival rate of impacted people in natural disasters. Given the scarcity of resources vs. the rescue demand magnitude and the time pressure in the operations, this becomes even more crucial in saving more lives. This paper presents a mixed integer multi-period optimization model for rescue teams’ allocation in the disaster-affected districts. The presented model maximizes the minimum effective coverage of demand over the impacted districts as the fairness satisfaction. Due to the sensitivity of operations to the time loss, the allocation decision in each period is characterized by an effectiveness measure. To count for the coordination of teams in the response operations, transshipment of resources between affected districts and the possibility of releasing them from rescue operations to other missions are considered. To count for the uncertain disaster environment, an interval-data robust optimization is adopted. Being inspired by the results of earthquake floating scenario in Tehran region 6, the mathematical model is run and analyzed. The results analysis highlights the importance of training local teams and planning for neighbor regions’ resource back-up to provide timely availability of rescue teams. The developed model is also capable of providing the disaster managers in earlier stages of disaster management cycle with practical managerial insights for assessing and prioritizing their options for resource capacity building and structures’ resistance to the earthquake.

Employees are the human capital of companies. Therefore, considering the interests of the employees and their participation in the management of the company can have a Positive impact on the survival and continuity of the company and in the long-term will increase the profit of the company. This paper, with a descriptive and analytical approach, examines the different approaches and theories related to employees' economic participation in the decision-making process of the company, and trying to answer the question, what is the position of employees in the system of corporate governance in Iran, and should they participate in the decision-making process in the corporate and should their interests be taken into account in corporate decisions? The paper concludes that the current situation of employees lacks an important and effective place in company decisions, but given the experience of other jurisdictions and the structure of Iranian business firms, it is possible to provide a regular and coherent mechanism to support employees. This can have a positive impact on the continued success of companies.
